Customer agreement
Customer Subscription Agreement
Effective when accepted electronically. This Agreement governs access to AssociationOps360 services for the customer identified at acceptance.
1. Customer authority and acceptance
A customer may be an individual or organization accepted by AssociationOps360.
An individual accepting this Agreement for an organization represents that they have authority to bind that organization. No particular job title, association role, board position, or management-company affiliation is required to accept this Agreement or create an account.
Electronic acceptance records may include the accepted version, customer identity, signatory name and title, date and time, verified email address, and related account evidence. Access and payment setup may be withheld until acceptance is complete.
2. Account and property structure
AssociationOps360 may support an organization with assigned properties, a standalone property or organization as the customer, or an individual account with authorized access to one or more properties.
A parent-property or portfolio designation is an organizational convenience. It does not grant access to another property, merge property records, or replace property-specific permissions.
The customer must provide accurate organization, property, payer, administrator, and authorized-representative information and promptly update it when authority or management changes.
3. Initial 30-day trial
An eligible customer may receive one 30-day trial. The trial is an initial evaluation period and is not a recurring free month or a separate trial for the same account or organization.
Trial activation requires a verified work email address and acceptance of this Agreement. AssociationOps360 may request additional information only when reasonably needed to protect the service, prevent abuse, or complete billing.
AssociationOps360 may use verified work-email and existing account records to prevent duplicate or restarted trials. Changing an email address does not create a new trial for the same customer or organization.
During the trial, the customer may use the enabled operational workflows for the selected trial scope. Standard PDF reporting may be available, but structured exports, complete attachment packages, and other bulk data exports may remain unavailable until the customer begins a paid subscription.
Unless the customer begins a paid subscription, trial access becomes read-only at the end of day 30. Trial data is retained for up to 90 days after the trial ends and becomes eligible for deletion after that retention period, subject to legal holds, preservation obligations, disputes, and other applicable restrictions. Conversion to a paid subscription during the retention period restores access according to the purchased plan.
4. Subscription, billing, and continued access
The applicable plan, authorized users, properties, billing method, price, billing period, and any approved additional services are shown in the order, checkout, or subscription record presented with this Agreement.
Billing may be combined for an authorized portfolio or separated by property. Consolidated payment does not merge property records or expand a user's access.
Continued service use requires payment when due. AssociationOps360 may restrict or suspend access for nonpayment or other material account issues, subject to the applicable subscription record and required notices.
5. Users, credentials, and access
Each named user must use their own authorized account. Credentials may not be shared or used to avoid purchasing or assigning the appropriate access.
The customer is responsible for assigning users only to properties and roles they are authorized to access, protecting credentials, and promptly reporting compromised accounts, lost devices, role changes, and departed personnel.
Legitimate use on more than one device or a change in network location is not, by itself, proof of account sharing. AssociationOps360 may require reasonable verification when activity indicates a security risk.
6. Property records and management transitions
Property-specific operational history remains associated with the property through manager, board, vendor, or management-company transitions, subject to verified authority, applicable law, and the customer's subscription status.
AssociationOps360 may require corporate or property-level verification before transferring administration, changing the payer, or releasing records. A management change does not automatically erase records, merge them with another property, or begin the post-termination retrieval period.
When authority is disputed, AssociationOps360 may temporarily restrict administrative changes while reviewing available evidence.
7. Operational records, attachments, and signoffs
The service may store work orders, maintenance history, assets, projects, vendor information, photos, documents, approvals, and related operational records according to the customer's plan and user permissions.
A technician's field-completion record or operational signature documents assigned work. It is not acceptance of this Agreement, a waiver by another party, or certification that unrelated office follow-up or unresolved work is complete.
The customer must not use status changes or signoffs to conceal unresolved hazards or knowingly represent unfinished work as fully resolved.
8. Data exports and property separation
Available reports and exports depend on the customer's plan, permissions, and the records represented in the export.
When a complete export is available, structured records may be accompanied by photos, PDFs, and other attachments, with an index or manifest linking files to their source records. A spreadsheet alone may not contain every attachment.
Exports must exclude or restrict information belonging to other properties, unauthorized users, or protected third parties. The customer is responsible for safeguarding exported copies after download.
9. Paid-service termination, expiration, and retrieval
For paid services, the customer may request electronic retrieval of eligible customer data for 30 days after the effective termination or expiration of this Agreement.
After that 30-day retrieval period, continued storage or access is not guaranteed, and data may be deleted unless retention is required by law, legal hold, dispute, valid preservation obligation, or another applicable restriction.
A service suspension, management change, or user-access change does not by itself establish the effective termination date. AssociationOps360 may require verification of the requesting party's authority before releasing an export.
10. Customer responsibilities
The customer will use the service lawfully, provide only information it is authorized to process, maintain appropriate internal access controls, and respect role and property boundaries.
The customer will identify an authorized administrator and maintain current contact information for billing, security, legal notices, and management transitions.
The customer will review operational outputs and remain responsible for management, maintenance, safety, employment, vendor, board, and legal decisions made using the service.
11. Service license and acceptable use
Subject to this Agreement and the applicable subscription record, AssociationOps360 grants the customer a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to permit its authorized users to access and use the service for the customer's internal community-association operations.
The customer and its users may not resell, sublicense, copy, frame, mirror, disrupt, probe, bypass access or usage controls, introduce malicious code, or use the service unlawfully except to the limited extent a restriction is prohibited by law.
Protection against reverse engineering and competitive use.
For these restrictions, Service Materials means AssociationOps360's platform, software, source and object code, user interface, APIs, designs, workflows, documentation, and any data, records, datasets, reports, outputs, or other materials accessed, obtained, observed, or generated through the service. Service access includes trial, demonstration, paid, requester, resident, vendor, administrative, support, integration, and other account or API access.
Customers, users, and third parties accessing the service must not reverse engineer, decompile, disassemble, attempt to discover source code or underlying algorithms, scrape, crawl, harvest, or otherwise extract or copy Service Materials, except for uses expressly authorized by the Agreement or documented service functions. Authorized APIs, reports, exports, and integrations may be used for the customer's permitted operations, not to evade these restrictions.
Customers, users, and third parties accessing the service must not use Service Materials or any service or account access, directly or indirectly, to design, develop, build, inform, train, fine-tune, test, evaluate, benchmark, or improve any competing or substantially similar product, service, software, artificial-intelligence system, or machine-learning model. This includes supplying Service Materials as training data, prompts, reference material, specifications, or evaluation datasets for that purpose, whether for their own benefit or another person's benefit.
Customers and users must not permit, enable, assist, or provide access or Service Materials to any third party for those prohibited purposes. Customers must ensure that their authorized users and third parties whom they permit to access the service or Service Materials are bound by and comply with these restrictions. Access does not grant a license for competitive development or training. The restrictions on retained Service Materials and prohibited competitive use survive termination or expiration of access or the Agreement.
These restrictions do not transfer ownership of Customer Data or prevent lawful use, export, retrieval, or migration of Customer Data for the customer's own operations. Those rights do not authorize use of Service Materials, account access, or AssociationOps360's intellectual property for prohibited competitive purposes. A restriction applies only to the extent permitted by applicable law and does not limit rights that applicable law prohibits the parties from restricting, including legally protected interoperability activities. Applicable third-party and open-source license rights remain governed by their own licenses.
The customer must not submit information it lacks authority to use or disclose, and must not use the service as an emergency-dispatch system or as the sole means of communicating an imminent threat to life, safety, or property.
12. Customer data, service data, and intellectual property
As between the parties, the customer retains its rights in customer-provided records, files, photographs, and other customer data. The customer grants AssociationOps360 the limited rights reasonably necessary to host, process, transmit, back up, secure, support, and provide the service in accordance with this Agreement and applicable law.
AssociationOps360 and its licensors retain all rights in the service, software, documentation, designs, workflows, methods, improvements, and related intellectual property. No ownership right is transferred except for the limited service-access right expressly granted in this Agreement.
AssociationOps360 may create and use aggregated or de-identified information that cannot reasonably identify the customer, a property, or an individual for service operations, security, analytics, and improvement. Feedback may be used without restriction or payment, but AssociationOps360 will not publicly identify the customer as the source without permission.
13. Confidentiality, privacy, and security
Each party will protect the other party's nonpublic business, technical, security, and operational information using reasonable care and will use it only to perform or receive the service, except when disclosure is authorized or legally required.
Personal information will be handled under the applicable AssociationOps360 privacy notice and, when required, a data processing addendum. The customer is responsible for providing required notices and obtaining permissions for information it submits about residents, employees, vendors, board members, and other individuals.
AssociationOps360 will maintain reasonable administrative, technical, and organizational safeguards appropriate to the service as actually deployed. No system is completely secure, and the customer remains responsible for its devices, credentials, authorized users, exported copies, and internal access decisions.
14. Preventive maintenance and equipment-performance boundary
AssociationOps360 provides software for recording, organizing, scheduling, communicating, and reporting maintenance information. AssociationOps360 does not inspect, operate, maintain, repair, engineer, certify, or warrant any equipment, building component, property condition, maintenance procedure, or completed work.
Preventive-maintenance schedules, reminders, checklists, recommendations, and status information depend on information supplied or selected by the customer and its users. They do not replace manufacturer instructions, applicable law, required inspections, professional judgment, qualified service personnel, or the customer's own safety and maintenance procedures.
The customer remains responsible for determining appropriate maintenance intervals and methods; assigning qualified personnel and vendors; reviewing alerts and records; completing, verifying, and documenting work; responding to hazards and emergencies; and deciding whether equipment or property may safely remain in service.
Use of AssociationOps360 does not guarantee that equipment will operate without interruption, that maintenance will prevent or identify every failure, or that a condition, defect, hazard, code issue, or incomplete repair will be discovered. AssociationOps360 is not responsible for loss caused by equipment condition, customer or vendor action or inaction, inaccurate or incomplete information, or reliance on the service as a substitute for qualified inspection or maintenance.
15. Service warranties and disclaimers
AssociationOps360 will provide the paid service in substantial conformity with its then-current documentation and will use commercially reasonable efforts to correct a reproducible material nonconformity reported with sufficient detail. This is the customer's exclusive service-performance remedy unless a signed order expressly provides another remedy.
Except for the express warranty above and to the fullest extent permitted by law, the service, trial, beta functions, reports, translations, recommendations, integrations, and documentation are provided as available without implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, uninterrupted operation, error-free operation, or achievement of a particular maintenance, safety, financial, or compliance outcome.
Third-party products, networks, devices, contractors, vendors, and integrations remain the responsibility of their providers and the customer. AssociationOps360 does not warrant their availability, accuracy, conduct, or performance.
16. Indemnification
The customer will defend and indemnify AssociationOps360 and its affiliates, officers, employees, and contractors from third-party claims arising from customer data, the customer's unlawful or unauthorized use of the service, the customer's maintenance or property decisions, or acts or omissions of the customer's users, vendors, contractors, or agents, except to the extent caused by AssociationOps360's gross negligence or willful misconduct.
AssociationOps360 will defend the customer from a third-party claim that the customer's authorized use of the paid service infringes a United States intellectual-property right, and may modify or replace the affected service, obtain continued-use rights, or terminate the affected service and refund prepaid fees for the unused portion. This obligation does not apply to customer data, customer modifications, unauthorized use, or combinations not supplied by AssociationOps360.
The indemnified party must provide prompt notice, reasonable cooperation, and control of the defense to the indemnifying party, and no settlement may admit fault or impose a nonmonetary obligation on the indemnified party without its consent.
17. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunity, or anticipated savings, arising from this Agreement even if advised that such loss was possible.
To the fullest extent permitted by law, AssociationOps360's aggregate liability arising from the service or this Agreement will not exceed the fees paid or payable for the affected service during the twelve months before the event giving rise to the claim. For a free trial, the aggregate cap is one hundred dollars.
The limitations in this section do not apply where prohibited by law and do not limit payment obligations, misuse of the other party's intellectual property, breach of confidentiality, indemnification obligations, fraud, gross negligence, or willful misconduct.
18. Subscription term, renewal, suspension, and termination
The subscription term, billing cycle, renewal method, and price appear in the applicable subscription record. Unless that record states otherwise, a paid subscription renews for a period equal to the expiring term until either party gives at least thirty days' notice of nonrenewal before the renewal date.
AssociationOps360 may adjust renewal pricing by giving at least sixty days' notice before the affected renewal. Adding paid users or services during a term may be prorated for the remaining term; reductions ordinarily take effect at the next renewal unless the subscription record states otherwise.
Either party may terminate for an uncured material breach after thirty days' written notice, or immediately when the other party becomes insolvent or when continued service would violate law. AssociationOps360 may suspend access sooner when reasonably necessary for security, unlawful use, nonpayment, or protection of customers or the service.
Except when this Agreement expressly provides otherwise, payment obligations are noncancelable and paid fees are nonrefundable. Termination does not erase amounts already due, and provisions that by their nature should continue will survive.
19. General provisions
Notices under this Agreement must be sent through the contact method identified in the subscription record or another formally designated notice address. Formal service on AssociationOps360 may be directed to H4 Legacy Holdings, LLC, 7901 4th Street North, Suite 300, St. Petersburg, Florida 33702. The parties will first attempt in good faith to resolve disputes through direct business discussion before filing a formal proceeding.
This Agreement is governed by Florida law, without regard to conflict-of-law rules. The state courts located in Orange County, Florida, and the federal courts having jurisdiction over Orange County, Florida, have exclusive jurisdiction and venue, and each party consents to those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Neither party is responsible for delay caused by events beyond its reasonable control, except for payment obligations. The customer may not assign this Agreement without AssociationOps360's consent, except with a permitted merger or sale of substantially all relevant assets; AssociationOps360 may assign it to an affiliate or successor.
This Agreement, the subscription record, and any incorporated privacy, data-processing, acceptable-use, support, or service-level terms form the complete agreement for the service. If terms conflict, a signed customer-specific order controls only for the specific conflict, followed by this Agreement and then incorporated policies. Invalid provisions will be limited or removed without affecting the rest, and failure to enforce a provision is not a waiver.
20. Agreement record
This Agreement and the accompanying subscription or order record form the customer-facing acceptance record for the services described there.
A later version may require renewed acceptance before continued use when the change materially affects the customer's obligations or rights.
If a customer-specific written order expressly conflicts with this Agreement, the signed customer-specific term controls only for that conflict.
